Terms of use
What you are buying, and who is responsible for what — in the shortest form that is still accurate.
This product changes records in your CRM, and only when you say so. Every write is confirmed by you first, shows you the exact records involved, and re-verifies their HubSpot ids live immediately before executing. Nothing is written because the software was confident.
The flip side is the part worth reading before your first import rather than after: a write you confirmed is your decision, made with your data, in your portal. The sections on imports and liability below are about that.
What a subscription includes
One subscription covers both tools — List Sync and Dedup & Audit — rather than charging per tool. What the tiers change is how many records your connected portal may hold: the combined count of companies and contacts. Accounts under 5,000 records use the product free and need no subscription at all.
Paid tiers all include the same features; only the ceiling moves. Billing is monthly or annual, through Stripe.
Some features are limited while we measure what they cost to run — Card Capture, which sends photographs to a vision model, is currently available to specific accounts rather than every subscriber. A limited feature is not part of what a subscription guarantees, and we will say so in the product rather than letting you find out at the paywall.
Writing to your HubSpot portal
This is the part to read twice. Some of it describes how the software behaves, and some of it allocates responsibility.
- Nothing is written without your explicit confirmation. You see the records, the fields and the values first.
- Record ids are re-verified against HubSpot immediately before a write. This exists because writing to a stale id is how real data gets damaged.
- A mapped column overwrites the HubSpot field it maps to. Imports default every property to “don’t overwrite existing”, so an update fills blanks and leaves existing values alone unless you deliberately uncheck that protection for a column. If you uncheck it, the import replaces what is there.
- Anything the software is unsure about goes to review, not into a field. A value we could not confirm becomes a note for a human to read; it never silently lands in a mapped column.
- A merge is effectively permanent. HubSpot’s own restore window is short and is not something we control. Review merges carefully.
Take a HubSpot export before your first large import. We recommend it in the product and we recommend it here. It costs you five minutes and it is the only thing that makes a mistake fully reversible.
Matching a messy list against a real CRM is a judgement, not an arithmetic result. The engine is deliberately conservative — an ambiguous match is routed to a human rather than guessed — but it will sometimes be wrong in both directions, and the review buckets exist because of that rather than in spite of it. You are responsible for what you confirm.
The lists you upload
You keep ownership of everything you put into this product. We process it on your behalf, for the purpose you uploaded it for, and for nothing else — set out in full in the privacy policy, which forms part of these terms.
In exchange, you confirm that you have the right to upload it and to have us process it. Concretely: that you may lawfully hold the attendee list, prospect list or photographed cards you are uploading, and that doing so does not breach a conference’s terms, a contract, or a data protection obligation you owe those people. We cannot assess that from our side, and we do not try to.
Not for patient data
Do not upload protected health information. This product handles business contact data — names, job titles, work emails, organisations. It is not designed for, and must not be used with, patient records, clinical information, claims data, or anything else that would be PHI under HIPAA.
We are not a business associate, no business associate agreement is in place, and none of the processors behind this product has been engaged on that basis. If your use case involves PHI, write to ethan@paliocagroup.com before uploading anything rather than after.
Disclaimer of warranties
The service is provided “as is” and “as available”, without warranty of any kind, express or implied. The Palioca Group LLC specifically disclaims all implied warranties of merchantability, fitness for a particular purpose, title, and non-infringement. We do not warrant that the service will be uninterrupted or error-free, that any match, classification or suggestion it produces is correct, or that any figure it draws from a third-party source is accurate, complete or current.
In plain terms, and said plainly because it is the honest position: deciding whether two differently-spelled organisations are the same organisation is a judgement call, and no amount of care makes it a certainty. We take real care — conservative thresholds, a review queue instead of a guess, a regression suite built from every real-world mistake we have found — and we still expect to be wrong sometimes. That is why every write is confirmed by a human, and why you should verify anything you are relying on.
Not professional advice
Nothing in this product is legal, regulatory, compliance, financial or tax advice, and nothing in it creates a professional relationship. It is a tool for organising CRM data. Decisions you make with it are yours.
Not affiliated with HubSpot or any agency
The Palioca Group LLC is independent. This product integrates with HubSpot and is not affiliated with, endorsed by, sponsored by or certified by HubSpot, Inc. HubSpot’s name and marks are used only to identify the system this product connects to.
Where the matching engine consults public records, it is not affiliated with or endorsed by the Centers for Medicare & Medicaid Services, the Health Resources and Services Administration, the Department of Health and Human Services, the Internal Revenue Service or any other agency. We name them only to identify where a figure came from.
Limitation of liability
To the maximum extent permitted by law, The Palioca Group LLC will not be liable for any indirect, incidental, special, consequential, exemplary or punitive damages, or for any loss of profits, revenue, data, business or goodwill, arising out of or relating to the service — whether in contract, tort or any other theory, and even if we have been advised of the possibility.
This includes any change to records in your CRM that you confirmed, and any consequence of a match, merge or import you approved.
Our total aggregate liability for all claims relating to the service will not exceed the amount you actually paid us in the twelve months before the event giving rise to the claim.
Some jurisdictions do not allow some of these exclusions, and where that is so this section applies to the fullest extent they do allow. Nothing here limits liability for fraud or for anything else that cannot lawfully be limited.
Your responsibilities
Keep your login to yourself and tell us promptly if you think it has been compromised. Do not use the service unlawfully, do not attempt to breach its security, and do not use it to process data you have no right to process.
You agree to indemnify and hold The Palioca Group LLC harmless from claims arising out of your use of the service in breach of these terms — most concretely, from uploading data you were not entitled to upload.
Availability
There is no uptime commitment. This is a small product run by one person on managed infrastructure, and promising a percentage we do not measure would be a number rather than a commitment. In practice a long job keeps running if you close the tab, and results you have already produced stay available in your job history.
Beta accounts are free, time-boxed and may end with notice. Nothing in a beta grant is a promise about pricing afterwards.
Billing, and stopping
Subscriptions are billed through Stripe, which handles card details and invoices entirely on its own pages — none of it passes through this application. Monthly subscriptions renew monthly and annual ones annually, until cancelled.
To cancel, email ethan@paliocagroup.com. We will cancel it and confirm. Your access continues to the end of the period you have already paid for. We would rather tell you plainly that this is a message to a person than point you at a self-service button that does not exist yet; a cancellation page is owed work, and until it ships an email is the way, and it will be honoured the day it arrives.
Refunds
Payments are non-refundable, including on cancellation, and we do not give partial or pro-rata refunds for unused time. When you cancel, your access continues to the end of the period you have already paid for rather than being cut short — that is what you get instead of a refund.
Two exceptions, because refusing them would be indefensible rather than firm. We will refund a duplicate charge or a billing error of ours without argument. And if the service is materially unavailable for a sustained period, write to us and we will work out something fair. Anything else — you stopped using it, you changed your mind, the matching did not say what you hoped — is not a refund.
Accessibility
We aim to meet WCAG 2.1 Level AA, and colour contrast in particular is checked against it deliberately rather than by eye. We do not claim conformance: there is no automated accessibility audit in this product’s test suite, and keyboard order, focus handling and how a screen reader reads a dense review table in context all need a person. We would rather tell you that than imply a clean bill of health.
If any part of this product is difficult or impossible for you to use, write to ethan@paliocagroup.com and tell us what you were trying to do. We will fix it or find you another way to get the same result, and we would rather hear about it than not.
Governing law
These terms are governed by the laws of the State of Oregon, without regard to its conflict-of-laws rules. The exclusive venue for any dispute is the state and federal courts located in Oregon, and both parties consent to jurisdiction there.
Ending it, and the rest
You may stop at any time — see billing above. We may suspend or end access for a material breach of these terms, and we will tell you why. The disclaimers, the limitation of liability, your indemnity and this section survive the end of your subscription.
When access ends, exports you already took remain yours, and anything of yours still in our systems is deleted on the schedule in the privacy policy. Disconnecting HubSpot deletes your tokens immediately.
If any part of these terms is held unenforceable, the rest stands. Not enforcing something once does not waive it. These terms, with the privacy policy, are the whole agreement between us about the service.
How these terms change
If either document changes materially — a new obligation, a narrower permission, a different processor, or a change to how we limit liability — we will email account holders at least 14 days before it takes effect, and the effective date above will move. Cosmetic edits and clarifications do not move that date. Ask us for the text that was in force on any given day and we will send it.
